By accessing or using VenueMBA's website, mobile applications, or any of our services (collectively, the "Services"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, do not use our Services.

VenueMBA provides a software platform that helps event venue owners manage their business, including:

  • Website builder for venue marketing (Foyer)
  • Lead and inquiry management tools
  • Communication tools for contacting potential customers
  • Educational resources for venue marketing

For individuals seeking to book venues, VenueMBA facilitates connections between you and venue owners through inquiry forms and messaging.

3. User Accounts

To access certain features, you may need to create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Send spam, unsolicited messages, or harass others
  • Impersonate any person or entity
  • Interfere with or disrupt the Services
  • Attempt to gain unauthorized access to any systems
  • Upload malicious code or content

5. SMS/Text Message Terms

VenueMBA Messaging Program

When you submit an inquiry through a venue's booking form and opt-in to receive text messages, you agree to the following terms:

Program Description

Receive updates and communications regarding your venue inquiry, including availability, pricing, tour scheduling, and follow-up messages from the venue owner.

Message Frequency

Message frequency varies based on your inquiry and communication with the venue. Typically 2-10 messages per conversation.

Costs

Message and data rates may apply. Check with your mobile carrier for details about your text messaging plan.

Opt-Out

To stop receiving messages, reply STOP to any text message. You will receive a confirmation message and no further texts will be sent. You can also contact us at support@venuemba.com to opt out.

Help

For help, reply HELP to any message or contact support@venuemba.com.

Supported Carriers

Major US carriers are supported including AT&T, Verizon, T-Mobile, Sprint, and others. Carriers are not liable for delayed or undelivered messages.

Privacy

Your phone number and message data are handled in accordance with our Privacy Policy. We do not sell or share your phone number with third parties for their marketing purposes.

6. Venue Owner Responsibilities

If you are a venue owner using our Services, you agree to:

  • Only message contacts who have explicitly opted in to receive communications
  • Honor all opt-out requests promptly
  • Provide accurate information about your venue and services
  • Comply with all applicable laws regarding communications
  • Not use the messaging tools for spam or unsolicited marketing
  • Maintain appropriate records of consent

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by VenueMBA and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. User Content

You retain ownership of content you submit through the Services (such as venue descriptions, photos, and messages). By submitting content, you grant VenueMBA a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with providing the Services.

9. Third-Party Services

Our Services may integrate with or link to third-party services (such as payment processors, calendar tools, or social media). Your use of such services is subject to their respective terms and policies. VenueMBA is not responsible for third-party services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

VenueMBA does not guarantee the accuracy of information provided by venue owners or users. We are not responsible for the quality of venues or the outcome of any bookings or communications facilitated through our platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENUEMBA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless VenueMBA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Delaware.

16. Severability
